It is Norbert Dentressangle which is slated for this role

Athose who would see in the next evolution of its governance the temptation of a drift autocratic, AXA responds by setting up structured balances. With the goal more or less admitted to keep the concern for "exemplary" that characterizes this field also,. No question, therefore, that the transition to a unitary Board structure and, especially, the appointment of Henri de Castries as CEO can be misinterpreted.

In this spirit, a measure is particularly iconic: the appointment of a Vice President, innovative transposition of the anglo-saxon concept of "lead independent director" (administrator independent referee). It is Norbert Dentressangle which is slated for this role. Chairman of the Supervisory Board of the Group of the same name, Norbert Dentressangle is independent member of the Supervisory Board of AXA since 2006.

For memory, on 29 April, the shareholders of the insurer will have to pronounce on an amendment to the statutes abandoning the dual structure in supervisory board and Executive Board in force since 1997. "AXA will return in the modern world governance, welcomes Jacques de Chateauvieux, the Chairman of the Supervisory Board, largely responsible for this development.". The adoption of a unitary structure will simplify the decision-making process, and especially will make the Board of Directors and its truly responsibility of decisions of the company members, since they will particularly have the burden to stop the accounts, to define the strategy or make account management to the General Assembly of shareholders.

"We do not dogmatic."

The freshly elected new Board of Directors will therefore meet in the wake of the General Assembly to propose that Henri de Castries - the current President of the Executive Board is part of the list of 15 Directors put to a vote of the shareholders - is appointed CEO. "The Statute and the rules of procedure allow open choice of separation or the meeting of the duties of CEO and President." Even if the standard is rather to the separation of powers, are not dogmatic! "Today, the appointment of Henri de Castries as Chairman of the Board of Directors, in addition to the Director General, is the best choice for AXA", insists Jacques de Chateauvieux, adding that the person concerned "spends 100 of his time at AXA. Unlike many of his peers, Henri de Castries has not the non-executive mandates. It is limited to functions in non-profit organizations (Association for assistance to the young infirm, musée du Louvre...).

It is precisely for the case where the same person Act the functions of President and Director-General that the function of Vice-President was scheduled on a mandatory basis in the rules of procedure, but in the articles, a first in France (read here). Other wages, include, more typically, weight dominant independent directors to the Board (11 of 15), and to entrust the Presidency of each of the four committees dedicated to an independent administrator. It is expected that Anthony Hamilton retains the chairmanship of the audit committee, Norbert Dentressangle of Ramon de Oliveira and remuneration Committee of the Financial Committee. The Chair of the Ethics Committee and governance should return to Jean - Martin Folz.
